Terms of Use

These Terms and Conditions apply to your use of svEye web application and connection services available on the website https://sveye.semantic-visions.com. These Terms and Conditions form an agreement between you as a user of svEye application and company Semantic Visions, owner of the application and website. By accessing or using https://sveye.semantic-visions.com and svEye application itself, you agree to comply with these Terms and Conditions, which govern your use of the svEye application (hereinafter “Terms of Use”) and agree on our Privacy Policy.

Definitions

For the purposes of these Terms of Use, words beginning with a capital letter shall have the meaning as stated:

  • “Account” means User account created in Application.
  • “Additional services” means Services and additions which are not provided under the Standard subscription and covered by Standard subscription fee.
  • “Additional subscription” means access to Additional services covered by Additional subscription fee.
  • “Additional subscription fee” means payments for selected Additional services which are not provided under the Standard subscription. The exact Additional subscription fee is stipulated by actual svEye Price list available on the Site and in the Account.
  • “Agreement“ means agreement concluded between Semantic Visions, acting as a provider of Services, and you, acting as a User, for which Services are provided.
  • “Application“ means web application available on the Site owned by Semantic Visions.
  • “Content” means outputs generated in the Application for the User on the basis of his Search under Agreement and these Terms of Use.
  • “Data” means any data contained in the Content.
  • “Fee” means total amount of payment User will pay for provided Services under chosen Subscription (Standard subscription, Additional subscription or combination).
  • “Free plan“ means free access to Services and Application functions selected by Semantic Visions in the scope of Free plan provided for testing and using the Application by User.
  • “GDPR” means Regulation (EU) 2016/679 of the European parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).
  • “Personal data” means any information relating to an identified or identifiable natural person, an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person.
  • “Price list” means actual price list of Services available on the Site and in the Account.
  • “SaaS” means the Software-as-a-Service offered by Semantic Visions by granting access to a User to Application.
  • “Search” means any request for Content made by the User in Application.
  • “Semantic Visions” means company Semantic Visions, s.r.o., identification no.: 24802671, with its registered office: Olivova 2096/4, Nové Město, 110 00 Praha 1, registered in the commercial register kept by the Municipal Court in Prague, section C, file 175631.
  • “Services“ means all services made available on the Site and Application including Additional services.
  • “Site” means website https://sveye.semantic-visions.com operated by Semantic Visions.
  • “Standard subscription“ means access to Services covered by Standard subscription Fee.
  • “Standard subscription Fee” means the amount of payment depending on the type of Standard Subscription. The exact Standard subscription Fee is stipulated by actual svEye price list available on the Site and in the Account.
  • “Subscription“ means access to Services under chosen subscription (Standard subscription, Additional subscription or combination).
  • “Trial period” means 30 days of Trial plan of Application.
  • “User” means any individual older than 18 years old or entity that accesses and uses the services provided by Semantic Visions under the Agreement including anyone who creates an Account or subscribes to Services.

Introductory provisions

Semantic Visions is an actionable analytics company that specializes in using Artificial Intelligence (AI) and machine learning technology to collect and analyse openly available online sources. Semantic Visions operates the Application and provides its analytics services on the basis SaaS to Users via their Account and chosen Subscription (prepaid access).

Registration to Application and Account

The Application can be used only after User’s previous registration on the Site and creation of the Account. To create an Account the User is obliged to choose a user name and a password. User name and password will be used for login into the Application and should be kept confidential.

Login credentials will be used for login into the Application and should be kept confidential. Each login credential shall not be used by any other persons or shared among a group of persons. The User shall only disclose the respective login credentials to authorized persons on a need-to-know basis (e.g. own employees) but shall otherwise keep it strictly confidential and refrain from disclosing the same to any third party. The User shall immediately notify Semantic Visions of any unauthorized use of personal login credentials and/or unauthorized use of the Application. In the absence of any such notification, all information received by Semantic Visions from someone using the login credentials of the User will be considered as having been sent by the User.

During the registration the User’s Personal data are required, such as name, email address, password according to the instructions and its confirmation, company name, and job title.

After filling all information required and clicking the “Create” button, agreeing to the Terms of Use and Privacy Policy by checking the relevant checkboxes, the Registration of User is completed. Confirmation of the registration in Application and the instructions for activation of Account will be sent by e-mail to the e-mail address filled in during the registration process by the User. The account will be activated after the relevant instructions have been followed.

Multi-factor authentication during the login into Application can be set in the Account.

Account deletion must be requested via support of Application.

Semantic Visions reserves the right to terminate Accounts and the Agreement that violate these Terms of Use. In such cases, the User who violated the terms is liable for caused damages. If Semantic Visions terminates the Account, the proportionate amount for the unused period of prepaid Subscription will be refunded.

The User is responsible for establishing a data connection to the Application at its own cost and expense.

Subscription and its renewal

The Service is subscription-based. The Content is available for Users on the basis of chosen plan:

  • Free plan
  • Standard subscription (Pro or Enterprise plan)
  • Additional subscription

Every Subscription is offered as an annual Subscription (12 months) or as a monthly Subscription (30 days). The User may upgrade his monthly Subscription to annual Subscription at any time by adjusting preferences in the Account settings. The annual subscription will be activated immediately, and Semantic Visions will credit the unused monthly Subscription to the annual payment. The User will therefore pay the price of the annual Subscription minus the unused monthly Subscription payment. The new renewal date will be 12 months from the day of upgrading the Subscription.

The current Subscription will not automatically renew at the end of its term. The auto-renewal can be set in your Account. The auto-renewal allows the User to effortlessly continue Subscription services without interruption. The Subscription will be renewed repeatedly for the same period.

Ten (10) days and then again three (3) days before the termination of Subscription, the User will be informed about the termination date by notification in the Application.

The Additional subscription cannot be activated without an existing Standard subscription.

Free plan

The User is entitled to test and use the Application in the Free plan for a Trial period.

The use of the Application in the Free plan is free of charge and no payment information from the User is required.

In the Free plan the scope of Services is restricted. No Additional services are available and the usage of Services is limited (e.g., export volume, scope of historical archive, number of entities per search).

During the Trial period the Additional services are not available. If the User wants to use them, the prepaid Subscription has to be activated.

Ten (10) days and then again three (3) days before the termination of Trial mode, and on the day of its termination, the User will be informed about the termination date by notification sent to the e-mail address filled in the Account by the User.

After the Trial period ends, the User has the option to subscribe to a prepaid Subscription. Using the Trial mode does not oblige the User to subscribe to any prepaid plan in the future. If the User does not subscribe to any prepaid plan, he/she will continue to have access to the Application, historical archive under the terms of the Free plan, and basic information after the Trial period ends. Other Services and additional features of the application (search, etc.) will not be available.

Trial period cannot be activated more than once.

Cancellations of Subscription

The User is entitled to cancel the Subscription at any time without giving a reason via a special form in the Account or by contacting us by e-mail.

After cancellation of the Subscription, the User will have access to the Application until the end of the Subscription period, after which access will be terminated.

If the User cancels the monthly Standard Subscription, the Agreement will terminate on the date of expiry of the prepaid period (at the end of prepaid month). The annual Standard Subscription ends on the day of cancelling. If the User cancels the Additional subscription, the Standard Subscription and the Agreement remain valid and effective in that part.

Payments are non-refundable unless otherwise specified.

If the User cancels the annual Standard Subscription, the proportionate amount for the unused period will be refunded within 14 days.

Agreement

The Agreement, to which these Terms of Use apply, is concluded when all of the following conditions are met:

  • The User creates the Account by filling in all the information required in the registration form on the Site (name, email address, password according to the instructions and its confirmation, company name, and job title).
  • The User agrees to these Terms of Use by checking the relevant checkbox.
  • The User clicks on the "Register" button or similar button/checkbox with a clear indication of the payment obligation according to the actual Price list and chosen Subscription, or the "Start trial" button.

By entering into the Agreement, the User undertakes to pay the Fee on a periodic basis.

On the basis of the Agreement Semantic Visions grants the User a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to use the Services.

Fee and Payment

Under the Agreement, the User is obliged to pay Semantic Visions the Fee for provided Services. The amount of the Fee depends on the selected Subscription and actual Price list.

The payment has to be paid periodically in advance for the next period. Monthly plans are billed in advance on a monthly basis and annual plans are billed in advance on an annual basis at the start of each twelve (12) month term.

All payments for the Services must be made via a third-party payment processor Stripe. No additional fee will be charged.

The Data handling

The User acknowledges that the Data included in the Content as output generated in the Application on the basis of the User’s Search are strictly publicly available and obtained only from public sources. Semantic Visions is not entitled or obliged to carry out its own investigation of the Data and is not responsible for its truthfulness, accuracy or compliance with the law.

Semantic Visions is not liable for any actions or decisions that the User may or may not take based on the Services or any information or data contained in the Content. The User understands that it assumes the entire risk with respect to the use of the Services.

The User shall handle the Data according to legal regulations (all relevant and applicable local, state, federal and foreign laws, treaties, rules, regulations and conventions) and in the manner specified in these Terms of Use.

Misuse. The User is not entitled to handle the Data in such way as to cause damage or risk of damage to Semantic Visions or any third party. Especially, the User shall refrain from:

  • using artificial intelligence, machine learning, or other techniques to reengineer or copy any part of Semantic Visions’ Intellectual Property (including software, algorithms, procedures, definitions of semantic concepts, or scenario evaluation),
  • creating models which mimic or substitute Semantic Visions’ semantic concepts or definitions.

The User is authorized to share the Data, as a part of the Content, with any third parties only with the prior written consent of Semantic Visions.

The User shall not create publicly available databases based on Application Data.

Violation of these license terms may result in immediate termination of the Agreement without entitlement to a refund of the Subscription fee.

Terms and Conditions of handling the Personal Data

If the Content contains any Personal data, the User shall use this kind of Data only in accordance with the relevant legislation (especially GDPR and other related laws).

The User acknowledges that any handling of Personal data is considered as processing of Personal Data. Under the GDPR, in case of processing of Personal Data, in particular (but not exclusively), the reason and purpose of processing must be given (e.g., on the basis of legitimate interest pursuant to Article 6(1)(f) GDPR). The User is obliged to process the data only to the extent reasonable and relevant in relation to the purpose for which it is processed. In that connection, the User shall especially take appropriate technical and organisational measures.

The User is expressly prohibited from submitting any Search that is intended to process Personal Data of natural persons in breach of the General Data Protection Regulation (GDPR) or any other legislation applicable to either the Client and/or Semantic Visions.

The User has been duly informed by Semantic Visions that the tools employed by Semantic Visions for the purposes of delivering the Content are, by default, configured to process all Searches as if the subject of a Search containing a name of an entity were a business entity (including, e.g., companies named after their founders).

Handling of Personal Data of Users is regulated by the Privacy Policy available on the Site and in the Account.

Data archiving and storage

  • The User shall archive and store the Data only in accordance with legal regulations (all relevant and applicable local, state, federal and foreign laws, treaties, rules, regulations and conventions) and always in relation to the nature of the Data.
  • If the Content contains any Personal Data, the User shall archive and store this kind of Data only in accordance with the relevant reason and purpose of processing based on GDPR and only for as long as necessary for the purposes for which they are processed.
  • In the case of archiving and storage of the Data, the User shall take internal technical and organizational measures to prevent any damage or risk of damage to Semantic Visions and third parties.
  • The Client is entirely responsible for handling of the Data and is obliged to bear all costs incurred, especially in connection with the handling, use, archiving, and storage of the Data, including all costs of any penalties or other sanctions which may be imposed on the Client for any reason in connection with the Data.

Intellectual-property rights

Semantic Visions retains all rights, title, and interest in and to the Services, including all intellectual property rights (e.g., copyrights, trademarks, patents, trade secrets, know-how). This includes, but is not limited to:

  • the Services' and Application names (brand),
  • interfaces, user experience designs, architecture, layouts, and visual elements,
  • format, underlying technology, algorithms, software,
  • all data generated through the use of the Application, including Content in any provided form (especially graphs regardless of their format, raw data, etc.).

The Content is intended solely for the personal use of the User. The Content or any part of it cannot be resold or made available to third parties in any way.

All intellectual property mentioned above, whether registered or unregistered, is owned by Semantic Visions and is protected by applicable intellectual property laws in the Czech Republic.

Except as expressly authorized in writing by Semantic Visions, no rights or licenses are granted to any User or third party, whether by implication or otherwise. All rights not expressly granted are reserved by Semantic Visions.

Any suggestions, feedback, or ideas the User provides about the Services are considered non-confidential and become the property of Semantic Visions. We value your input and may use it to improve the Services without any obligation to compensate the User.

Limitation of liability

Semantic Visions declares that it processes only data that are publicly available. Publicly available sources used by Semantic Visions for the provision of the Services may be indicated in the Content. Semantic Visions does not and cannot guarantee that any given source remains available and that the delivered URLs remain active. It is possible that a source may be removed from its URL and thus become unavailable for checking, although it was found by Semantic Visions at the time of processing.

Semantic Visions does not transfer or sell any content belonging to third parties. The Content provided to the User by Semantic Visions is always only the output of data processing methods of Semantic Visions.

In no event shall Semantic Visions be liable to the User, or to any other party, for any consequential, incidental, special, exemplary, indirect, or punitive damages, except for breach of a confidentiality obligation or infringement (or misappropriation) of another party's intellectual property rights, including, but not limited to copyrights, patents, or trade secrets.

Semantic Visions is reliant on data from third parties to provide its Services. Therefore, Semantic Visions must reserve the right to limit or discontinue its Services in case the provision of data from its sources is interrupted or limited for any reason. Such measures shall not constitute a breach or non-performance of the contractual relationship on part of Semantic Visions.

Semantic Visions is eager to make its Services available to the User as uninterrupted as possible, however, from a technical point of view, a continuous 100% uninterrupted availability of the Services cannot be guaranteed. In particular, maintenance, security or capacity issues, as well as events beyond Semantic Visions’ control (e.g., disruptions to public communication networks, power failures, etc.) may lead to disruptions or temporary suspension of the Services.

If the Services are unavailable for reasons attributable to a third party, the User shall not be entitled to any compensation or refund of the Subscription fee paid. If the Services are unavailable for reasons attributable to Semantic Visions, the User shall be entitled to a refund of the proportionate amount for the unused period due to unavailability of Services. Beyond this, the User is not entitled to any compensation.

Other provisions

Based on your prior consent, Semantic Visions may send the User commercial communication. The User is entitled to opt out in the Account at any time.

Closing provisions

This Term of Use and all matters arising out of or relating to it will be governed by the laws of the Czech Republic, without regard to its conflict of law provisions. Any legal action or proceeding relating to this Term of Use will be brought exclusively in the competent courts located in Prague, Czech Republic. Semantic Visions and the User hereby agree to submit to the jurisdiction of, and agree that venue is proper in, those courts in any such legal action or proceeding.

Semantic Visions has the right to revise these Terms of Use at any time by posting updated terms on the Site or providing the User with notice. The User’s continued use of the Services after any such changes constitutes acceptance of the revised Terms of Use.

These Terms of Use contain the entire Agreement and any previously concluded understanding, agreement with the same subject matter, representation or warranty, verbal or written, relating to that subject matter is replaced thereby and has no further effect.

These Terms of Use are effective as of 1st September 2025.
